Small Business Services Agreement

This Services Agreement (the "Agreement") is between Pure Flow Partners ("Pure Flow," "we," "us") and the business identified on the applicable Order Form, proposal, or online signup ("Client," "you"). By signing an Order Form, subscribing to a service package, or paying an invoice that references this Agreement, you accept these terms. Together, this Agreement and your Order Form make up the full agreement between us. If the Order Form and this Agreement conflict, the Order Form controls.
1. Services
Pure Flow provides marketing and brand services for independent local businesses, delivered as monthly subscription packages and one-time projects. Our current packages are:
The Two Lens Audit. A one-time, on-site assessment of your digital presence and in-store experience, with a written report, walkthrough call, and package recommendation. The audit fee is credited toward your first subscription month if you subscribe within 30 days of your audit walkthrough. The audit is a starting point, not a requirement; subscriptions are available without it.
Subscription Packages (P1 through P4). Four monthly service tiers, from Visibility (P1) through Pure Flow Bespoke (P4). Each tier builds on the one below it. The specific deliverables, service levels, and current pricing for each tier are described on the Services and Pricing page at pureflowpartners.com and on your Order Form. The package you have subscribed to is stated on your Order Form or signup confirmation.
We may improve or adjust how deliverables are produced over time, provided the overall value of your package is maintained. Material reductions to a package you are subscribed to will not apply to you without notice and the opportunity to cancel.
2. Term and Renewal
All subscriptions require a minimum 12 month commitment. Your initial term is 12 months from your start date, regardless of billing cadence.
Monthly billed subscriptions are billed each month in advance for 12 consecutive months. If you cancel before the 12 month initial term ends, all remaining monthly payments for the initial term become immediately due, unless Pure Flow agrees in writing to an earlier release. After the initial 12 month term, monthly billed subscriptions continue month to month and may be cancelled with 30 days written notice under Section 11.
Annual subscriptions are billed once, in advance, at the annual rate published at the time of purchase, which reflects a discount of one month against the monthly rate (12 months for the price of 11). Annual fees are non-refundable except as stated in Section 11 or required by law. Annual subscriptions renew automatically for successive twelve month terms at the then-current published rate unless either party gives notice of non-renewal at least 30 days before the renewal date.
3. Fees and Payment
Pricing. Fees for your package are stated on your Order Form. Published list prices include payment processing costs. Prices are in US dollars and exclusive of any applicable taxes, which are your responsibility.
Billing. Monthly subscriptions are billed in advance each month to the payment method on file. Annual subscriptions are billed in advance in full. Audit and add-on project fees are billed as stated on the applicable quote or Order Form.
Price changes. We may change published subscription pricing with at least 30 days written notice. Price changes never apply mid-term: monthly changes take effect at your next monthly renewal after the notice period, and annual changes take effect at your next annual renewal.
Late payment. If a payment fails or an invoice is more than 15 days past due, we may pause services until the account is current. Amounts more than 30 days past due may accrue a late charge of 1.5% per month or the maximum allowed by law, whichever is less.
4. Add-On Projects
One-time projects (such as brand kit setup, photography direction, print design, event playbooks, campaign builds, and website refreshes) are separate from your subscription and are quoted, scoped, and billed individually. Each add-on project is confirmed in a short written quote or statement of work stating the scope, price, timeline, and payment schedule. Unless the quote says otherwise, add-on projects are billed 50% on approval to begin and 50% on delivery. Pure Flow Bespoke (P4) subscribers receive a 15% discount on all add-on projects. Work outside the written scope is quoted separately before we begin it.
5. Package Changes
You may upgrade your package at any time; the new rate applies from your next billing date, or immediately with a prorated charge if you want the upgraded service to begin right away. Downgrades take effect at your next monthly renewal or, for annual subscriptions, at your next annual renewal.
6. What We Need From You
Good work depends on access and timely feedback. You agree to provide, promptly and at no cost to us: administrative or manager access to the accounts we manage on your behalf (such as your Google Business Profile and social media accounts), your existing brand assets, accurate business information, and a designated contact authorized to approve content. Where a package includes content approval, items not approved or declined within five business days of delivery may be rescheduled to the next content cycle. Delays caused by missing access or approvals extend our delivery timelines accordingly and do not entitle you to a refund or credit.
7. Content, Approval, and Ownership
Approval. For packages that include published content, we publish only content you or your designated contact have approved, through the approval workflow described for your package.
Your ownership. Upon full payment, you own the final deliverables we create specifically for you: approved posts, reports, brand assets, and designed pieces.
Our ownership. Pure Flow retains all rights in our methods, processes, templates, scorecards (including the Map Pack Health Score framework), tooling, and any material we developed before or outside this engagement. You receive a perpetual license to use anything of ours that is embedded in your deliverables, for your own business purposes.
Your materials. You confirm you have the rights to all logos, photos, text, and other materials you provide to us, and you grant us a license to use them to deliver the services.
Portfolio. With your permission, we may reference your business name and non-confidential examples of our work for you in our portfolio and marketing.
8. Third-Party Platforms and Results
Our services depend in part on third-party platforms such as Google, Meta, and email and SMS providers. We do not control those platforms, their algorithms, their pricing, or their policies, and changes they make can affect results. We bring three decades of brand and marketing experience and we work hard for every client, but no marketing provider can guarantee specific rankings, review volumes, follower counts, foot traffic, or revenue, and we do not. Any subscription costs for third-party tools that are stated as included in your package are included; advertising spend and any third-party costs outside your package are billed separately at cost with your prior approval.
9. Scope of Local SEO Services
Where a package includes local SEO services, this means reporting, monitoring, and active management of your Google Business Profile: rank tracking, citation and consistency checks, Map Pack Health scoring, posts, photos, Q&A, and review responses. It does not include link building, technical SEO remediation, website code changes, keyword strategy engagements, or paid search management. Where our reporting surfaces work of that kind, we will flag it and can scope it as a separate add-on project.
10. Confidentiality
Each of us agrees to protect the other's non-public business information received under this Agreement, to use it only to perform under this Agreement, and not to disclose it to anyone who does not need it for that purpose. This obligation survives the end of this Agreement for two years, and indefinitely for customer lists and contact data. Customer contact lists we build for you belong to you and are exported to you on request and on termination.
11. Cancellation and Termination
Monthly billed subscriptions. During the initial 12 month term, cancellation for convenience does not release you from remaining monthly payments; all unpaid installments for the initial term become immediately due on cancellation, unless Pure Flow agrees in writing to an earlier release. After the initial 12 month term completes, you may cancel at any time with written notice (email is fine), effective at the end of your current monthly billing period. No refunds for partial months.
Annual subscriptions. Annual fees are billed in advance and are non-refundable except as stated in this Section or required by law. You may cancel effective at the end of your current annual term with at least 30 days notice.
Termination for cause. Either party may terminate immediately on written notice if the other materially breaches this Agreement and does not cure the breach within 15 days of notice. If we terminate for your uncured breach, remaining fees for the current term are due. If you terminate for our uncured breach, we will refund the prorated unused portion of any prepaid fees.
On termination, we will hand off account access we hold on your behalf, deliver completed work you have paid for, and export your customer contact list to you.
12. Warranties and Limitation of Liability
We warrant that services will be performed in a professional and workmanlike manner. Except for that warranty, services are provided as-is, and we disclaim all other warranties, express or implied. Neither party is liable to the other for indirect, incidental, consequential, or punitive damages, or for lost profits or lost revenue. Each party's total liability under this Agreement is capped at the amounts you paid to Pure Flow in the six months before the event giving rise to the claim. Nothing in this Section limits liability for a party's fraud, willful misconduct, or breach of Section 10.
13. General Terms
Pure Flow is an independent contractor, not your employee, agent, or partner. This Agreement is not exclusive for either party. Neither party may assign this Agreement without the other's consent, except to a successor in a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. This Agreement is governed by California law, and any dispute will be resolved in the state or federal courts located in Los Angeles County, California. We may update these posted terms from time to time; updates apply to you at your next renewal, and we will give at least 30 days notice of material changes. If any provision is found unenforceable, the rest of the Agreement remains in effect.
